*Job Title: Corporate Counsel - Subcontract Management*
*Job Summary:* We are seeking an experienced Corporate Counsel with a specialty in subcontract management.
The ideal candidate will provide legal guidance on a variety of corporate matters with a strong emphasis on drafting, reviewing, and negotiating subcontractor agreements and ensuring compliance with applicable laws and regulations.
The role involves collaborating with our project management and procurement teams to manage risks and support our business objectives.
*Key Responsibilities:*
* Draft, review, and negotiate a wide range of legal documents related to subcontract management including agreements, amendments, and terminations.
* Provide legal support to the procurement and project management teams on subcontractor-related issues.
* Ensure all subcontracting practices are in compliance with applicable laws and company policies.
* Advise on legal risks and business terms of various deals.
* Conduct legal due diligence in the selection process of subcontractors.
* Develop and implement procedures for contract management and administration in compliance with company policy.
* Provide training to company teams on legal and compliance matters related to subcontracting.
* Manage disputes and litigations related to subcontractors.
* Stay up-to-date with legislative changes that may affect the company and its affiliates.
* Work closely with external attorneys and coordinate with them on complex legal matters.
*Qualifications:*
* Juris Doctor (JD) degree from an accredited law school.
* Valid license to practice law in the state of operation.
* A minimum of 3 years of legal experience in a corporate setting or law firm, with a focus on contract law and subcontract management.
* In-depth knowledge of legal aspects of procurement and subcontracting.
* Strong negotiation skills with an ability to maintain strong working relationships with external parties.
* Excellent organizational skills and attention to detail.
* Ability to work independently on projects, from conception to completion, and must be able to work under pressure to handle a wide variety of activities and confidential matters with discretion.
*Preferred Skills:*
* Experience with consulting / contracting is highly preferred.
* Strong understanding of industry-specific regulations and compliance requirements.
* Excellent analytical, communication, and presentation skills.
*Working Conditions:*
* Full-time position with the option for flexible hours.
* Office environment with the possibility of remote work as per company policy.
* Occasional travel to meet with subcontractors or to oversee contract execution may be required.
