About the Role: You will be Neuron's first in-house counsel, and report to the CFO.
You will collaborate closely with our leadership and sales teams, provide guidance on critical commercial transactions and negotiations, and identify and mitigate risks related to various agreements.
You will oversee the legal aspects of our business relationships, ensure regulatory compliance, and preserve the company's legal interests.
You will support corporate transactions and management of our international subsidiaries.
You will have a huge impact on Neuron's business as it grows.
To be successful, you will need strong business acumen, be globally-minded and detail-oriented, and have strong interpersonal and communication skills.
This role can be remote, or hybrid if the candidate is near Neuron's headquarters in the greater Miami region.
What You'll Do: Draft, review and negotiate complex commercial and SaaS sales agreements (e.
g.
, MSAs/subscription service agreements, term of use, public sector commercial agreements, professional services agreements, channel agreements, partner agreements, data processing agreements, assignment and assumption agreements, statements of work, order forms, NDAs and other commercial agreements), as well as supplier contracts and other types of agreements Provide practical, commercial advice to global sales executives and internal stakeholders on a variety of Sales- and support-related legal issues, balancing business objectives with legal risks, including identifying, managing, and communicating risks and opportunities in revenue transactions and analyzing and interpreting complex business and legal contractual provisions Ensure that all contracts and agreements comply with relevant laws, regulations, and industry standards Manage various legal requests and special projects with a short response time Provide guidance to leadership and other internal teams on legal risks and benefits of specific contracts to the company Create and manage education, information, and training programs for the sales and success organization related to negotiation best practices and relevant legal issues/business forms Maintain and continuously refine forms, playbooks, fallback guides, guidelines, research files, FAQs, policies, processes, procedures, and other tools Provide timely and practical legal advice, taking into account the relevant legal issues and risks, agreement structures, approval processes, and company policies and procedures Proactively address enterprise risk management issues, including cybersecurity incident readiness and response and intellectual property protection Work on legal disputes from pre-litigation phase through litigation or arbitration, and liaise and collaborate with outside counsel Collaborate with Neuron's information technology and security teams on e-discovery strategy and process implementation, including document retention processes and procedures Conduct legal research to actively monitor and support Neuron in adapting to evolving regulations and industry standards Develop and implement standardized templates and processes for consistency in legal terms and language Stay informed of industry-specific regulations to support appropriate risk management strategies Assist with any other legal or compliance-related matters Assist with corporate governance and subsidiary management, and work closely with Neuron's Finance and Accounting teams on domestic and international tax matters as it relates to corporate governance, intercompany, and international subsidiary matters What You'll Need: Juris Doctor (J.
D.
) from an accredited law school, as well as an active membership/license in good standing in a state bar association In-house experience preferred at either private or publicly traded technology companies, preferably in a fast growth stage company(ies) Demonstrated experience negotiating (i) complex commercial transactions, specifically with large enterprises involving issues related to data protection, security and intellectual property; and (ii) transactions involving SaaS.
Also has a solid working knowledge of business models, relative bargaining power, sales motion, global commercial negotiation practices and revenue recognition standards, and has the ability to quickly and accurately recognize areas of risk/opportunity.
Well-organized and able to work on tight timelines while handling multiple projects Ability to handle complex corporate matters with subject matter expertise in core areas, and the knowledge and experience to ask appropriate questions for areas outside of core areas of expertise Effective communication, and the ability to explain complex legal concepts to non-legal team members A proactive, business-minded approach to problem-solving, with a commitment to providing practical legal advice and solutions Ability to work independently and closely manage multiple outside counsels across various time zones and deadlines, with the judgment to know when to outsource to outside counsel vs.
