JOB SUMMARY
This is an opportunity to join a fast-growing $650 million revenue Commercial Printing and Marketing Services Company with locations across the United States and Canada.
This Company is in an acquisitive phase of its life cycle, looking to grow both organically and through targeted investments and acquisitions of existing enterprises within the commercial printing, signage, and eCommerce industries.
Reporting directly to the Founder, the Lead M&A Counsel will assume a pivotal role in the organization by leading the legal process for all of the Company’s acquisition activities.
This position will be responsible for overseeing and managing all aspects of the transactions including due diligence, drafting and negotiating equity and asset purchase agreements, coordinating all aspects with the business teams, mitigating risks, drafting and negotiating ancillary documents, and closing the transaction.
This position will also be responsible for drafting bank/loan agreements and real estate agreements which often are coordinated with the closing of acquisitions.
ROLES AND RESPONSIBILITIES
The Lead M&A Counsel’s day-to-day duties and responsibilities vary depending on the various needs under which our Company operates.
Duties will include the following:
• Conducting thorough due diligence.
• Drafting and negotiating equity and asset purchase agreements.
• Drafting and negotiating ancillary documents including but not limited to transition services agreements, real estate leases, employment agreements, bills of sale, assignment and assumption agreements, commercial arrangements, and resolutions and consents.
• Strategic legal oversight, risk mitigation / management, and ensuring compliance with regulatory requirements.
• Collaborate closely with business teams to ensure alignment of legal strategy and business objectives.
• Managing all aspects of the M&A transaction, including pre- and post-closing matters.
• Managing bank / loan agreements in relation to acquisitions
• Managing and closing real estate transactions in relation to acquisitions
Basic Qualifications

D.
• Bar admittance (in state of residence)
• 7+ years of experience in M&A, preferably with at least 3 years of experience in private practice.
• Preferred experience in Printing.
• Ability to thrive in a fast-paced and dynamic environment.
• Team-oriented.
• Excellent attention to detail.
• Problem-solving ability and creative thinking for developing workable solutions.
• Excellent written and verbal communication skills.
• Project management skills.
Preferred Skills
The Lead M&A Counsel will be asked to manage and support different types of transactions in an ever-growing and evolving corporate environment.
This person must have the ability to adapt within such a role.
