Summary of Role: SunPower is seeking Corporate Counsel for a dynamic, dedicated and collaborative team working in one of the economy’s most important growth industries.
You will be part of a problem-solving team working to build the renewable energy structure of the future with forward-looking energy solutions.
At SunPower, the legal team works directly with the business to solve multi-jurisdiction, multi-functional, complex problems that require a willingness to create new solutions for a leading solar development company offering a broad array of energy solutions for both residential and commercial customers.
Reporting to the Associate General Counsel, Channels and Structured Finance, the successful candidate will be primarily responsible for providing legal advice and support for project finance and structured finance transactions, including post-close support for legacy project funds and other facilities for the Residential business.
Essential Duties & Responsibilities: Support structuring, negotiation and drafting of term sheets, definitive agreements and related documents for project finance and structured finance transactions, including both debt and equity financing.
Advise and support the Company’s finance, controllership, and asset management teams to ensure compliance with all financing arrangements, including drafting and negotiating ancillary documents related to the ongoing management of project funds.
Provide summaries of deal terms, including identification of risk factors, to Associate General Counsel and other legal and business stakeholders as needed.
Coordinate with outside counsel to effectively and efficiently manage the company’s project pipeline and corporate responsibilities.
Coordinate diligence efforts for capital market transactions, working closely with the company's finance and development teams.
Coordinate with Corporate Legal to manage SEC filings and disclosures related to financings.
Coordinate and oversee work performed by outside counsel, contract attorneys and support staff on a cost-effective basis.
Assist other members of the legal department as needed in a variety of transaction, regulatory and other matters, as instructed.
Manage legal budget relevant to the role.
Required Qualifications: Broad functional understanding of project and structured finance.
Experience negotiating, reviewing, drafting and revising project finance transaction documents under pressure and firm deadlines.
Experience identifying and resolving legal and business issues, appropriately balancing legal issues with business risk in support of business goals.
Experience effectively collaborating with multiple stakeholders and independently self-motivated to complete assigned tasks while communicating frequently and appropriately with Associate General Counsel to ensure alignment across the legal function.
Highly organized with the ability to pay close attention to details.
Excellent communication skills and an ability to interface real-time with colleagues across functions and around the country, cooperatively and efficiently.
JD and current member in good standing of at least one state bar.
3-7 years experience in structured and/or project finance, preferably in the renewable energy space.
Preferred Qualifications: Prior in-house experience is a plus.
Excellent project management skills with the ability to coordinate, prioritize, and remain collected under pressure.
