About the Role
Sellers Dorsey is seeking a Legal Counsel (Associate Director Level) with 7-10 years of relevant experience in state/local government and commercial contracting who will be responsible for highly complex and difficult professional legal work that can significantly impact the growth of the firm, with supervision of the General Corporate Counsel.
The position is recognized as an advanced practitioner and performs work with the utmost independence.
Key Responsibilities
Examines, prepares, reviews and edit contracts, procurement documents, proposals and other legal documents from clients, subcontractors, consultants, and vendors.
Advises on and represents Company in contract negotiations as needed.
Assists with all phases of M&A activities, including due diligence, deal documents, outside counsel management, and integration.
Independently handles complex, difficult and novel legal issues for the Company, which require innovative and creative ways to resolve them.
Provides legal advice to stakeholders on all matters.
Assists with oversight and management of outside counsel engagements for general business or administrative matters.
Assists other functional areas and performs related work as required.
Key Qualifications
Law Degree from an ABA accredited institution.
Admission in good standing in at least one U.
S.
jurisdiction is required.
Admission in good standing (or the ability to obtain admission as corporate counsel within one (1) year) to the Pennsylvania Bar is required.
A minimum of 7 years of professional legal experience preferably in areas relevant to the Company services.
Both in-house and firm experience preferred.
Strong state/local government and commercial contracting required.
Knowledge of common law and state and federal laws relevant to Company business.
Knowledge of the principles, methods, materials, and practices of legal research.
Familiarity with contract management systems and compliance tools preferred.
Ability to conduct legal research and interpret, analyze, and organize facts, evidence, and precedents and to present such material in clear and logical form.
Ability to interpret and draft contracts and other legal instruments.
Ability to establish and maintain effective working relationships.
Ability to communicate effectively.
