Job Description:
Stretch your experience across legal functions as a Paralegal at Phreesia.
As a Paralegal, you will support a broad range of corporate matters, including SEC reporting, subsidiary governance, M&A, bank lending, capital markets transactions and corporate governance/board matters.
You will also manage the company’s corporate documentation and contracts with customers and vendors as you also help to support internal departments.
Rely on your legal knowledge by drafting privacy and security incident reports, in accordance with HIPAA laws and regulations.
Take initiative with projects and bring your ideas around processes and improvements to our legal “table” in this role.
This is a remote position for those in the United States in the EST or CST time zones.
What You'll Do:
Assist with public company filings and compliance, including Section 16 filings, SEC periodic reporting and proxy statements
Support corporate secretary function on governance and other corporate matters, including Board and committee meetings, support of shareholder engagements, corporate recordkeeping and subsidiary governance
Assist with capital markets, M&A, bank lending and other corporate transactions including due diligence and virtual data room building/maintenance, and post-closing matters
Maintain the formal contract management system and manage library of contract versions and provisions
Research, investigate, and draft reports on potential privacy and security incidents in accordance with HIPAA regulations and policies, managing log of privacy and security incidents
What You'll Bring:
Bachelor's degree and 5+ years of corporate paralegal experience including SEC reporting, corporate governance, M&A or similar with a public company, preferably in-house
Familiarity with HIPAA and/or other federal regulatory requirements; experience with health tech is a plus
Intellectual curiosity and aptitude to digest and apply regulatory requirements to factual situations, willing to ask questions when investigating, analyzing, and drawing conclusions
Project Management skills to organize and manage multiple projects at once, prioritizing assignments and following through to meet deadlines
Familiarity with virtual data rooms like Intralinks, contract management systems, Salesforce or another CRM and Workiva or similar system preferred
Base pay for US is $85,000 - $100,000, depending on qualifications.
